1. Definitions
- "Platform" means the Wynston W.I.N. software service, including the interactive map, feasibility analytics, the Wynston Outlook, and all related pages, tools, and applications.
- "Outputs" means the estimates, figures, reports, and analytics generated by the Platform.
- "Subscription" means a paid plan that grants access to features of the Platform for a recurring fee.
- "User Content" means information, project details, or listings submitted to the Platform by you or other users.
- "You" means the individual or entity using the Platform.
2. The Service
Wynston is a software-as-a-service analytics platform for the small-scale multiplex housing market in Metro Vancouver. It lets users explore parcels and generate development-feasibility estimates and market read-outs.
The Platform is board-independent: it does not use or redistribute MLS®, Home Price Index, or real estate board data. All information on the Platform is provided for research and informational purposes only, and never as an offer, solicitation, or advertisement to buy or sell any property or security.
3. Eligibility & Accounts
- You must be of the age of majority in your province of residence and able to form a binding contract to use the Platform.
- You agree to provide accurate account information and to keep it current. You must verify your email address where prompted.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use.
- Accounts are for the registered user. You may not share, sell, or transfer your account or access credentials.
4. Subscriptions, Billing & Cancellation
- Plans. The Platform offers a free tier and paid Subscriptions (for example, Professional and Premium). Features and current prices are described on our pricing page and may change on a going-forward basis.
- Payment processor. Payments are processed by Stripe. By subscribing, you authorize us and Stripe to charge your payment method for the applicable fees and taxes. Your use of Stripe is subject to Stripe's terms.
- Automatic renewal. Subscriptions renew automatically at the end of each billing period at the then-current price, unless you cancel before the renewal date.
- Cancellation. You may cancel at any time; cancellation takes effect at the end of your current billing period, and you retain access until then.
- Refunds. Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial billing periods or unused access.
- Taxes. Fees are exclusive of applicable taxes, which will be added where required.
- Price changes. We may change Subscription prices; changes apply to your next billing period after reasonable notice.
5. Acceptable Use
You agree not to, and not to permit anyone to:
- scrape, harvest, crawl, or bulk-extract data or Outputs from the Platform, or use automated means to access it beyond ordinary personal use;
- resell, sublicense, redistribute, or commercially exploit the Platform or its Outputs except as expressly permitted;
- reverse engineer, decompile, or attempt to derive the Platform's source code, models, methodology, weights, or data sources;
- circumvent, disable, or interfere with access controls, tier gating, security features, or usage limits;
- upload malicious code, or use the Platform to infringe others' rights, violate any law, or transmit false, misleading, or unlawful content;
- misrepresent your identity, authority, or affiliation, or use the Platform to harass or defraud any person.
6. User Content & Listings
Some users (such as builders) may submit project information to showcase on the Platform. You are solely responsible for User Content you submit, and you represent and warrant that:
- you have all rights necessary to submit it and to grant the licence below;
- it is accurate and not misleading, and does not infringe any third-party right or violate any law;
- it contains no price, offer, solicitation, "for sale," reservation, or deposit terms — listings on the Platform are information-only; and
- you are responsible for your own compliance with all laws applicable to your marketing and business activities.
You grant Wynston a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, and distribute your User Content on and in connection with the Platform. You retain ownership of your User Content.
7. Intellectual Property & Proprietary Methodology
The Platform, including its software, design, text, and the Outputs' presentation, and all associated intellectual property, are owned by Wynston Technologies Corp. or its licensors and are protected by law. Subject to these Terms and your Subscription, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform and to use Outputs for your own internal business or personal research purposes.
Wynston's estimation models — including the Wynston Outlook and the signals, weights, and data sources behind them — are proprietary and confidential trade secrets. The Platform discloses only directional results and verdicts and does not publish the underlying methodology. You may not reverse engineer, reconstruct, or attempt to derive that methodology, and you may not use Outputs to build a competing product or to train a model.
8. Estimates & No Professional Advice
All Outputs are modelled estimates for informational purposes only. They are not facts, appraisals, guarantees, or predictions you can rely upon, and actual results will differ. Outputs do not constitute real estate, appraisal, financial, investment, tax, mortgage, engineering, architectural, or legal advice.
You are solely responsible for your decisions. Before acting on any Output, you must independently verify it with the relevant municipality and qualified, licensed professionals. Your reliance on any Output is at your own risk. Full details are in our Legal Disclaimer.
9. No Agency, No Brokerage, No Transaction
Your use of the Platform does not create any agency, brokerage, fiduciary, partnership, employment, or joint-venture relationship between you and Wynston. Wynston is not a party to, and has no responsibility for, any dealing between users. Any transaction you pursue with another party is solely between you and that party, under your own separate arrangements, and completed through appropriately licensed professionals. Wynston collects no deposit, offer, or commission and facilitates no transaction.
10. Third-Party Services
The Platform integrates third-party services, including Stripe (payments) and Mapbox (mapping), and relies on public and third-party data sources. Your use of a third-party service is governed by that party's terms and policies. Wynston is not responsible for the acts, omissions, availability, or content of any third party.
11. Disclaimer of Warranties
THE PLATFORM AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WYNSTON DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Wynston does not warrant that the Platform will be uninterrupted, error-free, secure, or that any Output is accurate, complete, or current.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WYNSTON AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE PLATFORM OR ANY OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WYNSTON'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL SUBSCRIPTION FEES YOU PAID TO WYNSTON IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100). Some jurisdictions do not allow certain limitations; where that applies, the above applies to the fullest extent permitted.
13. Indemnification
You agree to indemnify, defend, and hold harmless Wynston Technologies Corp. and its directors, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your User Content, your use of the Platform, your violation of these Terms, or your violation of any law or third-party right.
14. Suspension & Termination
We may suspend or terminate your access at any time, with or without notice, if you breach these Terms, if required by law, or to protect the Platform or its users. You may stop using the Platform and cancel your Subscription at any time. On termination, your right to use the Platform ends; sections that by their nature should survive (including Sections 7, 8, 11, 12, 13, and 16) will survive.
15. Changes to the Platform & Terms
We may modify, suspend, or discontinue any part of the Platform at any time. We may also update these Terms; when we make material changes, we will update the "Last Updated" date and, where appropriate, notify you. Your continued use after an update constitutes acceptance of the revised Terms.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Subject to any non-waivable rights you have under applicable consumer-protection law, you and Wynston submit to the exclusive jurisdiction of the courts located in British Columbia for any dispute arising out of or related to these Terms or the Platform.
Before commencing any formal proceeding, you agree to first contact us at info@wynston.ca and attempt in good faith to resolve the matter informally.
17. General Provisions
- Entire agreement. These Terms, together with the Privacy Policy and Legal Disclaimer, are the entire agreement between you and Wynston regarding the Platform.
- Severability. If any provision is held unenforceable, the remaining provisions stay in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Notices. We may provide notices through the Platform or by email to your account address.
